End User License Agreement (EULA)

For Rolidex — Effective date: October 8, 2025

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and Rolidex for the use of the software, mobile application, website, and related services collectively referred to as "Rolidex".

By installing, accessing, or using Rolidex, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use Rolidex.

Rolidex grants you a limited, non-exclusive, non-transferable, revocable license to use Rolidex in accordance with this Agreement and any documentation provided.

All title, ownership rights, and intellectual property rights in and to Rolidex (including but not limited to any images, text, designs, formats, user interface, and software) are owned by Rolidex or its licensors. This Agreement does not grant you any rights to trademark, service mark, or trade name of Rolidex.

4. Updates and Support

Rolidex may provide updates, patches, or new releases to Rolidex. This Agreement governs all such updates unless separate terms accompany those updates. Support, if any, is provided at Rolidex's discretion and may be subject to additional terms or fees.

5. Privacy and Data

Use of Rolidex may involve collection, storage, and processing of data. Our Privacy Policy explains how we collect and use information. By using Rolidex, you consent to the collection and use of information as described in the Privacy Policy.

6. Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Rolidex PROVIDES Rolidex "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT.

7. Limitation of Liability

IN NO EVENT WILL Rolidex BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF Rolidex, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL Rolidex'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE AMOUNT PAID, IF ANY, BY YOU TO Rolidex FOR ACCESSING Rolidex IN THE SIX (6) MONTHS PRECEDING THE CLAIM. IF NO PAYMENTS WERE MADE, THE LIABILITY SHALL BE LIMITED TO THE REASONABLE AMOUNT DETERMINED BY THE COURT.

8. Indemnification

You agree to indemnify, defend, and hold harmless Rolidex and its officers, directors, employees, agents and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your breach of this Agreement, your violation of applicable law, or your misuse of Rolidex.

9. Termination

We may terminate or suspend your access to Rolidex immediately, without prior notice or liability, for any reason, including if you breach this Agreement. Upon termination, your right to use Rolidex will cease and you must uninstall or delete all copies of the software in your possession.

You agree to comply with all local, national, and international export laws and regulations that apply to the software and any underlying technology.

11. Governing Law and Dispute Resolution

This Agreement is governed by the laws of Florida, USA, without regard to conflict of law principles. Any dispute arising under or in connection with this Agreement will be subject to the exclusive jurisdiction of the courts located in Lake Park, Florida.

12. Changes to This Agreement

Rolidex may revise this Agreement from time to time. When we make material changes, we will notify you by posting the updated Agreement and updating the "Effective date" at the top. Continued use of Rolidex after changes means you accept the new terms.

13. Severability

If any provision of this Agreement is held to be unenforceable, such provision will be reformed only to the extent necessary to make it enforceable and the remaining provisions will remain in full force and effect.

14. Entire Agreement

This Agreement constitutes the entire agreement between you and Rolidex regarding the subject matter and supersedes all prior or contemporaneous agreements, understandings and communications, whether written or oral.
